Rewards Terms and Conditions

The preconditions for eligibility for Rewards and the Reward value are determined solely by the Rewarder, and not by Hoox. The Rewarder may change the preconditions for eligibility and the value of the Reward, suspend the provision of the Reward or completely discontinue it, at any time and in its sole discretion.

Only transactions that meet the preconditions presented on the Payment Page ("Eligible Transactions") will entitle you to the relevant Reward.

​

When you make a transaction, your Rewarder provides us with the details of your purchase (without any information that directly identifies you) and the 4 last digits of your payment card – all, in an encrypted manner. We examine your eligibility based on the preconditions determined by the Rewarder. Please note that if you use a non-eligible payment card to complete the transaction, the transaction may fail. If you pay with a non-eligible payment card and the transaction is successful, you will still not be entitled to the Reward.

Redeeming the Reward

If your transaction is an Eligible Transaction:

  • For Pre-Purchase Rewards – The value of the Reward will be reflected in the final purchase price. The Reward will be redeemed automatically when you complete the Eligible Transaction. 

  • For Post-Purchase Rewards – depending on the type of the Post-Purchase Reward you are eligible for, following the completion of your Eligible Transaction, the Reward will be:

  1. provided to you by the Rewarder automatically, through the relevant channel (e.g., in the case of cash-back, it will be provided to your bank account). Please note that the Reward will be provided within several business days, and not immediately; or 

  2. presented to you on a separate webpage or sent to you via email or SMS (a "Reward Notice"), at the Rewarder's choice. To redeem your Reward, use the Reward number provided to you through the Reward Notice, when making a later purchase.

Your Reward – 

  • is intended for personal, non-commercial use.

  • is only redeemable once per Eligible Transaction.

  • may not be sold or otherwise transferred, assigned or shared with any third party. 

  • may not be converted to other forms of Reward. 

  • will not be redeemable again if you cancel your Eligible Transaction or return the goods you purchased and receive a refund.

Redemption of Rewards is subject to any additional terms of the Rewarder.

Disclaimer of Warranty and limitation of liability

REWARDS ARE PROVIDED BY THE REWARDER AND NOT BY HOOX. WE DO NOT DETERMINE THE REWARDS' TERMS AND AVAILABILITY, OR THE PRECONDITIONS FOR ELIGIBILITY. YOU WILL HAVE NO PLEA, CLAIM, OR DEMAND AGAINST US REGARDING THE FOREGOING.

WE AND OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, ADVISORS, CONSULTANTS, SUBCONTRACTORS AND ASSIGNEES (COLLECTIVELY, OUR “STAFF”) DISCLAIM ALL WARRANTIES AND REPRESENTATIONS, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE REWARDS, INCLUDING ANY WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, QUALITY, LEGAL COMPLIANCE, COMPATIBILITY, OR AVAILABILITY. YOU ACKNOWLEDGE AND AGREE THAT THE REDEMPTION OF REWARDS IS ENTIRLY, OR TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR STAFF SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, STATUTORY, INCIDENTAL OR CONSEQUENTIAL DAMAGE, OR ANY SIMILAR DAMAGE OR LOSS (INCLUDING LOSS OF PROFIT AND LOSS OF DATA), COSTS, EXPENSES AND PAYMENTS, EITHER IN TORT (INCLUDING NEGLIGENCE), CONTRACT, OR IN ANY OTHER FORM OR THEORY OF LIABILITY, ARISING FROM, OR IN CONNECTION WITH THE REDEMPTION OF, OR THE INABILITY TO REDEEM THE REWARDS.

Governing Law and Jurisdiction 

These Ts&Cs and your use of the Services will be exclusively governed by and construed in accordance with the laws of the State of Delaware, the United States.

ANY AND ALL DISPUTES, CLAIMS OR CONTROVERSIES BETWEEN YOU AND HOOX REGARDING THESE Ts&Cs, WHICH ARE NOT AMICABLY RESOLVED, SHALL BE SETTLED THROUGH BINDING ARBITRATION (RATHER THAN IN COURT) BY TELEPHONE, ONLINE OR BASED SOLELY UPON WRITTEN SUBMISSIONS WITHOUT IN-PERSON APPEARANCE, ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA), UNDER ITS CONSUMER ARBITRATION RULES (WHICH ARE AVAILABLE AT WWW.ADR.ORG). THE SUBSTANTIVE LAWS OF ARBITRATION SHALL BE THE LAWS OF THE STATE OF DELAWARE.

JUDGMENT ON THE AWARD RENDERED BY THE ARBITRATOR(S) MAY BE ENTERED IN ANY COURT HAVING JURISDICTION THEREOF.

HOWEVER, YOU MAY LODGE CLAIMS IN SMALL CLAIMS COURT IF YOUR CLAIM QUALIFIES.

THE FEDERAL ARBITRATION ACT AND FEDERAL ARBITRATION LAW APPLY TO THESE Ts&Cs.

THERE IS NO JUDGE OR JURY IN ARBITRATION, AND COURT REVIEW OF AN ARBITRATION AWARD IS LIMITED. HOWEVER, AN ARBITRATOR CAN AWARD ON AN INDIVIDUAL BASIS THE SAME DAMAGES AND RELIEF AS A COURT (INCLUDING INJUNCTIVE AND DECLARATORY RELIEF OR STATUTORY DAMAGES), AND MUST FOLLOW THESE Ts&Cs AS A COURT WOULD.

PAYMENT OF FILING, ADMINISTRATION AND ARBITRATOR FEES WILL BE GOVERNED BY THE AAA'S CONSUMER ARBITRATION RULES. THESE FEES WILL BE SHARED AS FOLLOWS: ONE THIRD BY YOU AND TWO THIRDS BY US, UNLESS THE ARBITRATOR: (I) DETERMINES THAT THE CLAIMS ARE FRIVOLOUS, IN WHICH CASE THE CLAIMANT SHALL BEAR ALL SUCH FEES ARISING FROM THE FRIVOLOUS CLAIM; OR (II) DETERMINES THAT THE FEES SHOULD BE ALLOCATED DIFFERENTLY.

YOU AND HOOX HEREBY ACKNOWLEDGE, AGREE AND COVENANT THAT ANY DISPUTES SHALL ONLY BE ADJUDICATED IN ARBITRATION ON AN INDIVIDUAL BASIS, AND NOT IN CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDINGS.

YOU MAY OPT-OUT OF THE ABOVE ARBITRATION CLAUSE BY EMAILING US TO INFO@HOOXPAY.COM, WITHIN SEVEN (7) DAYS OF ENTERING INTO THESE Ts&Cs FOR THE FIRST TIME, AN OPT-OUT NOTICE THAT IDENTIFIES YOURSELF AND CLEARLY SETS OUT YOUR CHOICE TO OPT OUT OF DISPUTE RESOLUTION BY ARBITRATION. IN CASE OF SUCH OPT-OUT, ANY AND ALL DISPUTES, CLAIMS OR CONTROVERSIES BETWEEN YOU AND US REGARDING THESE Ts&Cs, WHICH ARE NOT AMICABLY RESOLVED, SHALL BE SUBJECT TO THE EXCLUSIVE JURISDICTION AND VENUE OF THE STATE COURTS LOCATED IN DOVER, DELAWARE, AND UNITED STATES FEDERAL DISTRICT COURTS.

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS SECTION, A PARTY MAY ASSERT AN IMPLEADER CLAIM AGAINST THE OTHER PARTY IN ANY COURT OF COMPETENT JURISDICTION ADJUDICATING A THIRD-PARTY CLAIM THAT IS SUBJECT TO INDEMNITY.

Introduction

The Reward (as defined below) is provided by the merchant whose products you purchase online or in store, or from the issuer of your payment card you use to make a purchase (each, a "Rewarder"). We, at HooxPay Inc. (“Hoox” or “we”, “us”, “our”) help the Rewarder give the Reward to you.

These Terms and Conditions ("Ts&Cs") apply when you collect and redeem your Reward. Please read them carefully. By collecting and redeeming your Reward, you indicate that you accept and agree to these Ts&Cs. If you do not agree to these Ts&Cs in their entirety, you must not redeem the Reward.

These Ts&Cs may be amended from time to time. Changes to the Ts&Cs will not apply retroactively in a way that negatively impacts Rewards you were already given.

If you are an individual residing in the United States, by agreeing to these Ts&Cs you also agree to the use of email or SMS (“Electronic Record”) to send you required notices. You may withdraw your consent to use an Electronic Record by notifying us at info@hooxpay.com and indicating your withdrawal of consent, your full name and postal address. To access and retain a copy of this disclosure or the Electronic Record in which we send you any required notices, you will need (i) a computer with a web browser and Internet access and (ii) either a printer or storage space on such device. To request a paper copy of this disclosure or the Electronic Record in which we send you any required notices, contact us at info@hooxpay.com and indicate your request, your full name and postal address. We will charge you the cost of first-class mail-international, for each paper copy you request. To update the contact details we use to contact you electronically, contact us at info@hooxpay.com and indicate your full name, your old email address or phone number and new email address or phone number.

Eligibility and value

The preconditions for eligibility and the value of the Reward will always be presented on the payment page when you place an online purchase or on make an in-store purchase ("Payment Page").
